We are giving the required two weeks notice that we are calling an Extraordinary General Meeting on Monday 8 January at 5.30pm. The meeting will be held on “Zoom” and you can contact us for the link.
We will be proposing the following 3 resolutions :
- To approve the immediate amendment of the current Constitution of Fife Pride, dated 23rd May 2019, by adding a new additional clause to the Constitution, under the existing heading entitled “Dissolution and wind-up of the group”, to say:
“The group may be dissolved or wound-up by a resolution passed by not less than two-thirds of the members present and voting at an AGM, Board Meeting or Extraordinary General Meeting called for that purpose, for which at least 14 clear days’ notice must be given.” - To agree that;
i. Fife Pride should proceed in changing its legal structure to a Scottish
Charitable Incorporated Organisation (“SCIO”); and
ii. on that basis, to approve the draft SCIO Constitution for Fife Pride (“the
SCIO”), which accompanied the notice of the meeting and will be lodged with
the Office of the Scottish Charity Regulator in order to incorporate the SCIO,
together with any changes requested by The Scottish Charity Regulator to achieve
registration. - To agree that once the SCIO has been formed that the assets of Fife Pride be
transferred to the new SCIO, being an organisation with similar purposes, and that Fife Pride be dissolved at a suitable time thereafter.
